Coforge, an IT service firm, is experiencing some changes within its board’s top-level members. Only a few days after OP Bhatt had resigned from the position of the Chairman, DK Singh, who serves as Non-Executive Independent Director and the Chairperson of Nomination and Remuneration Committee (NRC) has also left Coforge.
Singh’s exit has become immediate. According to the notice filed by Coforge with the BSE, there was no other reason that motivated his resignation. In addition to this, after leaving the company, he will also resign from all the company’s board committees’ membership.
As mentioned earlier, Singh is not a director in any other listed company. Moreover, he is not a member of any other listed company’s board committee.
The firm has initiated measures to enhance its board. Thus, Vivek Sharma has been nominated as interim Chairperson and will serve until January 31, 2027.
Under the guidance of Sharma, a global search will be conducted in order to appoint other independent directors to the board of Coforge. In addition to this, Sharma will head the process of nominating a new chairperson to Coforge. This new chairperson may either be from existing directors or from newly appointed directors.
In addition to the above mentioned changes in the leadership, Coforge has altered the structure of two vital board committees: the Nomination and Remuneration Committee (NRC) and the Stakeholders’ Relationship Committee.
Boucher Beth, who is a Non-Executive Independent Director, has been appointed as the Chairperson of the NRC.
These changes were triggered by certain concerns regarding the board evaluation process conducted at Coforge. The company stated that its internal audit showed that OP Bhatt’s performance in the Chairman category obtained the lowest evaluation in the board evaluation process.
However, according to the company, this data was not made known to the full board of directors and the NRC during the presentation of the evaluation process results.
As reported by Coforge, the observations of the internal auditor were connected with the presentation of the reports and results of the board evaluations process.
It was reported that access to these documents was restricted and could be had by only the NRC Chairperson and the Chairman of the Board. Other members of the Board, even independent directors, did not get the documents.
Additionally, it was reported by Coforge that they did not share the reports with other directors due to the directions of the Chairman of the Board.
The departure of DK Singh, after that of OP Bhatt, marks another development for the leadership at Coforge. Coforge is now looking for independent directors and a new Chairman.
