Mid-tier IT firm, Persistent Systems has upped its stake in Germany-based IT company Nagarro by purchasing an additional 61.15% stake via a voluntary public offer. Following the acquisition, the stake of Persistent in Nagarro has reached 83.25%.
Persistent Systems informed about the development via a regulatory filing on Tuesday. The company stated that it bought 7,568,145 shares of Nagarro, which constituted roughly 61.15% of its outstanding shares, excluding treasury shares. The offer period has come to an end on September 17, 2026.
Following German Takeover Regulations, the shareholders of Nagarro will have one more chance to accept the offer of Persistent. The period of acceptance will be from September 23 to October 6, 2026. Those shareholders who have not yet accepted the offer will be able to sell their stakes in Nagarro for EUR 81 per share in cash.
Persistent Systems added that it would provide further details following the period of acceptance.
This transaction is just one part of Persistent’s broader strategy to gain control over Nagarro. Earlier in June, Persistent had entered into an agreement to buy a 22.10% stake in Nagarro from the largest shareholder, Lantano Beteiligungen GmbH. With the help of the most recent acquisition, Persistent’s stake has already exceeded the threshold of 50% + one share.
According to the Persistent CEO Sandeep Kalra, the firm offered Nagarro shareholders an opportunity to realize the full worth of their shares immediately.
Persistent intends to also withdraw Nagarro’s shares from being traded at the Frankfurt Stock Exchange. It should be noted that the company aims to complete the procedure of delisting Nagarro from the regulated Prime Standard market.
The entire transaction is supposed to be finalized by the end of the first quarter of 2027.
This is a huge milestone for Persistent Systems as it enables it to acquire a controlling interest in Nagarro, which is a technology services firm based in Germany.
Persistent Systems has succeeded in obtaining a controlling interest in Nagarro as it increased its holdings above 83%, and it is also planning to take Nagarro off Frankfurt Stock Exchange.
Share price of Persistent Systems was trading 1.5% lower at Rs 5,280 (11 AM) in NSE on Wednesday.
